Innovation Scouting Services for Innovation Seekers

This document governs the terms and conditions for the use of the services offered by Innovation Match to users registered as Innovation Seekers on the platform https://www.innovationmatch.io (hereinafter, the “Platform”).

 

Definitions

For the purposes of these Terms and Conditions, the following terms shall have the meanings set forth below:

Innovation Match: the digital platform operated by Rocket Dreams S.r.l. that facilitates connections between companies seeking innovative solutions (Innovation Seekers) and companies offering innovative services or solutions (Innovation Providers), without assuming any role of commercial intermediation.

Innovation Seeker: the registered user who uses the Platform to search for, evaluate, and initiate innovative collaborations.

Innovation Provider: startups, innovative SMEs, technology providers, or other entities offering innovative solutions through the Platform.

Match: an introductory meeting between an Innovation Seeker and an Innovation Provider, aimed at professional discussion and the evaluation of potential collaborations, with no guarantee of commercial outcome.

Ask for a Match: a feature that allows Innovation Providers to directly request a meeting with an Innovation Seeker.

Innovation Challenge: an innovation announcement published by an Innovation Seeker, also in anonymous form, to collect expressions of interest regarding specific project needs.

Open Innovation Concierge: a paid advanced advisory support service provided by Innovation Match, structured as an obligation of means and not of result.

 

1. Scope

These Terms and Conditions govern access to and use of the Innovation Match digital platform by users registered as Innovation Seekers, namely companies, organizations, or professionals that use the Platform to search for, evaluate, and activate collaborations with startups and innovative solution providers.

 

2. Platform Registration and Usage

Registration on Innovation Match is personal and is completed exclusively via login with the user’s personal LinkedIn profile.

Registration:

  • does not involve the creation of a public corporate profile;

  • does not provide for the publication of the company logo;

  • identifies the Innovation Seeker as an individual contact and not as a shared corporate account.

2.1 Access Requirements

Only individuals falling into at least one of the following categories may register as Innovation Seekers:

  • corporate managers who play an active role in evaluating suppliers, solutions, collaborations, partnerships, or innovation initiatives within their organization;

  • entrepreneurs or company founders seeking innovative solutions to support business development.

Innovation Match reserves the right to:

  • verify the consistency of the profile with the purposes of the Platform;

  • request additional information or clarification;

  • suspend or deny access if the profile does not meet the above requirements.

2.2 Platform Usage Modalities

Upon registration, the Innovation Seeker is entitled to use Innovation Match in self-service mode (“self mode”).

Self mode includes:

  • autonomous access to the Platform;

  • consultation of profiles of registered innovative companies;

  • the ability to request Matches with selected companies;

  • no dedicated assistance or assigned consultant.

Use of the Platform in self mode does not include consultancy services, guided scouting, solution selection, or strategic support.

All scouting, evaluation, and selection activities are carried out directly by the Innovation Seeker under their own responsibility, unless additional paid services are activated.

 

2.3 LinkedIn Profile Continuity

The Innovation Seeker acknowledges that their Innovation Match profile is linked to the personal LinkedIn profile used at registration.

In the event of a role change, company change, or termination of the relationship with the previously represented company, the Innovation Seeker undertakes to promptly update the associated information.

Innovation Match is not required to automatically transfer the profile to a new company and reserves the right to:

  • request verification of updated information;

  • temporarily suspend the account;

  • limit access to certain features

    if the information is outdated, inaccurate, or inconsistent with the associated LinkedIn profile.

 

3. Matches

3.1 Definition

Matches are introductory meetings organized through the Platform between an Innovation Seeker and one or more registered innovative companies.

Matches may take place:

  • via video call;

  • in person, at the premises of the Innovation Seeker, the Innovation Provider, or during events organized or promoted by Innovation Match.

Logistical arrangements for in-person meetings are the responsibility of the involved parties, unless otherwise agreed in writing.

3.2 Purpose of Matches

Matches aim to:

  • initiate an initial introductory discussion;

  • explore offered skills, solutions, and technologies;

  • assess potential synergies or collaborations.

A Match does not constitute a technical, economic, or strategic evaluation of proposed solutions, nor a recommendation or endorsement by Innovation Match.

Unless otherwise agreed in writing, Matches are non-exclusive.

3.3 Visibility of Innovation Seeker Information

By registering on the Platform, the Innovation Seeker authorizes Innovation Match to disclose to interested Innovation Providers only the following information:

  • company department;

  • seniority level;

  • company name.

The Innovation Seeker’s email address and full name are not automatically shared and are disclosed only after a Match is accepted, solely for the purpose of:

  • generating the calendar link;

  • organizing the video call or meeting.

3.4 Ask for a Match

The Innovation Seeker acknowledges that they may receive Match requests from Innovation Providers via the Ask for a Match feature.

Requests:

  • are communicated both on the Platform and via email;

  • allow the Innovation Seeker to evaluate meeting requests.

The Innovation Seeker may:

  • view the Innovation Provider’s company profile;

  • freely accept or decline the request, without obligation to provide justification.

Acceptance of a Match solely initiates an introductory meeting and does not imply any contractual or commercial obligation.

3.5 Innovation Seeker Commitments

By requesting or approving a Match, the Innovation Seeker undertakes to:

  • participate with genuine exploratory interest;

  • maintain professional and collaborative conduct;

  • use received information in compliance with confidentiality obligations and applicable laws.

3.6 Confidentiality

During Matches, parties may exchange confidential technical, commercial, or strategic information.

Unless otherwise agreed in writing, each participant undertakes to:

  • treat such information as strictly confidential;

  • not disclose it to third parties;

  • use it solely for evaluating potential collaborations.

Innovation Match assumes no obligation to monitor or protect information exchanged and is not liable for improper use.

Innovation Match does not guarantee the success of Matches or the initiation of collaborations.

 

4. Innovation Challenge

4.1 Right to Publish

Each registered Innovation Seeker is entitled to create one (1) Innovation Challenge per year, included in the registration, unless otherwise agreed.

4.2 Nature of Innovation Challenges

Innovation Challenges allow Innovation Seekers to:

  • launch innovation announcements anonymously;

  • describe needs, challenges, or innovation projects;

  • collect expressions of interest from innovative companies.

Challenges may be activated via the Platform or by email to [email protected].

Publication does not guarantee the number or quality of responses.

Anonymity concerns the identity of the promoting company, though indirect deductions may be possible.

4.3 Publication Channels

Innovation Challenges are published:

  • on the Innovation Match Platform;

  • within the member community;

  • on Innovation Match communication channels, including email, newsletters, social media, and proprietary channels.

Innovation Match reserves the right to assess clarity, completeness, and admissibility prior to publication.

 

5. Open Innovation Concierge Service

5.1 Service Activation

The Open Innovation Concierge is a paid service activated exclusively through contact with the Innovation Match sales team.

5.2 Included Scouting Activities

The service may include:

  • publication of dedicated Innovation Challenges;

  • collection and presentation of a long list of responding companies;

  • support in selecting a short list aligned with objectives;

  • participation in introductory calls with short-listed companies alongside a dedicated innovation consultant.

The service does not include technical project management or responsibility for execution by Innovation Providers.

Operational details, timelines, and deliverables are defined in the commercial agreement.

5.3 Cost Structure

The service includes:

  • a fixed fee, contractually defined;

  • an optional variable fee equal to 20% of the total project value, applicable if support is provided for economic negotiation and operational integration.

The variable fee:

  • applies only if Innovation Match supports the Innovation Seeker through contract execution;

  • is invoiced upon contract execution;

  • is calculated on the initial 12-month project value, excluding maintenance, renewals, or extensions;

  • is not applicable after 12 months;

  • excludes legal costs;

  • is limited to coordination support.

The Innovation Seeker agrees to provide relevant accounting documentation upon request.

Project start date is defined as the issuance date of the first invoice or, in investment scenarios, the formalization date of the investment commitment.

Post-contract delivery project management is excluded from the service scope.

 

6. Relationships Between Innovation Seeker and Innovation Providers

Innovation Match acts solely as a facilitation and business matching platform.

Innovation Match:

  • does not perform commercial intermediation;

  • is not a party to agreements between Innovation Seekers and Providers;

  • assumes no responsibility for negotiation, execution, or outcomes, except as explicitly provided in the Open Innovation Concierge service.

 

7. Service Purpose and No Guarantee of Results

Innovation Match services aim to facilitate qualified connections and open innovation processes.

Innovation Match:

  • does not guarantee specific outcomes;

  • does not guarantee provider availability or response;

  • operates under an obligation of means, not results.

7.1 Post-Match Opportunistic Behavior

Innovation Seekers commit to using Matches transparently and consistently with open innovation purposes.

Prohibited behaviors include:

  • information gathering without real project interest;

  • systematic platform circumvention;

  • meetings without concrete exploratory intent.

Innovation Match may limit or suspend access in case of repeated abuse.

 

8. Limitation of Liability

Innovation Match shall not be liable for:

  • unsuccessful collaborations;

  • failure to conclude agreements;

  • strategic decisions by Innovation Seekers;

  • actions or omissions of Innovation Providers.

 

9. Unsubscription and Profile Deletion

Innovation Seekers may request profile deletion at any time via the Platform or by email to [email protected].

Upon deletion:

  • the account is deactivated;

  • platform access ceases;

  • data is processed in accordance with applicable law and privacy policy;

  • legal data retention obligations remain unaffected.

 

10. General Platform Provisions

10.1 Platform Use

The Platform must be used lawfully and consistently with open innovation objectives.

10.2 Innovation Seeker Obligations

The Innovation Seeker guarantees the accuracy and completeness of provided information.

10.3 Shared Content

Innovation Seekers are responsible for shared content and must not share unlawful or infringing materials.

10.4 Intellectual Property

All rights related to the Platform and its contents belong exclusively to Rocket Dreams S.r.l.

10.5 Account Suspension

Innovation Match may suspend or terminate access in case of violations or technical needs.

10.6 Service Availability

Innovation Match does not guarantee uninterrupted service and may perform maintenance without notice.

10.7 Personal Data Processing

Personal data is processed in accordance with GDPR, as described in the Platform privacy policy.

10.8 Amendments

Innovation Match may amend these Terms at any time, effective upon publication.

12. Governing Law and Jurisdiction

12.1 Governing Law

These Terms are governed by Italian law.

12.2 Jurisdiction

The Court of Milan shall have exclusive jurisdiction over any disputes, without prejudice to mandatory jurisdiction rules.
